Washington Electric’s nomination and election process is presented in articles III and IV of the Cooperative’s Code of Regulations. The following is a summary of the qualification, nomination and election procedure:
Trustee Qualifications
No person shall be eligible to become, or remain a member of the Board who is not a bona fide permanent resident in the area served by the Cooperative, or who is in any way employed or financially interested in a competing enterprise or business selling electric power or supplies to the Cooperative.
Nominating Committee
A committee on Nominations consisting of five to 11 members of the Cooperative (excluding current board members) is appointed by the board of trustees not less than 30 days, nor more than 120 days before the annual meeting (June 4, 2005) to select at least one member for each office of trustee to be elected. Also, 25 or more members may make other nominations by written petition not less than 15 days prior to the annual meeting.
Election
The election is held during the Cooperative’s annual membership meeting scheduled for June 4th this year. Each member is entitled to one vote, either in person or by proxy executed in writing by the member. A member attending the meeting may not vote as a proxy for more than three members. Board members may be elected by plurality vote of the members, and term of service for such a trustee position is three years.
